PLEASE READ THESE TERMS AND CONDITIONS (“TERMS”) CAREFULLY BEFORE USING THIS WEBSITE. By accessing, browsing, or using the United Legacy Retirement Communities’ website located at unitedlegacycommunities.com (the “Site”), you confirm that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, incorporated herein by reference.

If you do not agree to these Terms, you must not use the Site. Your continued use of the Site following any modifications to these Terms constitutes your acceptance of the updated Terms. These Terms constitute a legally binding agreement between you and United Legacy Retirement Communities, LLC (“United Legacy,” “we,” “us,” or “our”).

The Site is operated by United Legacy Retirement Communities, LLC, a senior living company providing information about our communities, care levels, services, and amenities across the United States. The Site is designed to help prospective residents and their families research and make informed decisions about senior living options.

The Site is intended for personal, non-commercial use by individuals residing in the United States. Nothing on the Site constitutes a binding agreement for residency, care services, pricing, or availability unless confirmed in a separate, fully executed Residency Agreement between United Legacy and the resident.

By using the Site, you represent and warrant that:

• You are at least 18 years of age
• You have the legal capacity to enter into a binding agreement under the laws of your state of residence
• If acting on behalf of another person (e.g., a family member or prospective resident), you have the legal authority to do so
• You will use the Site only for lawful purposes consistent with these Terms and all applicable federal, state, and local laws
• All information you provide through the Site is accurate, current, and complete to the best of your knowledge

The Site is not directed at or intended for use by children under the age of 13. If you are under 18, you may only use the Site with the involvement and consent of a parent or legal guardian.

All content on the Site — including but not limited to text, graphics, photographs, videos, virtual tour content, logos, icons, interfaces, code, the look and feel, design, selection, and arrangement of the Site — is owned by or licensed to United Legacy and is protected by United States and international copyright, trademark, trade dress, patent, and other intellectual property laws (collectively, “Materials”).

UNITED LEGACY RETIREMENT COMMUNITIES™ and all associated logos and trade names are trademarks of United Legacy Retirement Communities, LLC and may not be used without prior written permission.

Permitted Use

• View and access the Site for personal, non-commercial informational purposes
• Print or download limited portions of content for your personal, non-commercial reference, provided all copyright and ownership notices are preserved

Prohibited Uses

• Copy, reproduce, distribute, publish, display, modify, or create derivative works from any Site content without express written permission
• Use any Site content for commercial purposes, including advertising, resale, or competitive intelligence
• Frame or embed any portion of the Site on another website without permission
• Remove or alter any copyright, trademark, or other proprietary notices
• Use automated tools, scrapers, bots, or crawlers to extract data or content from the Site

Where the Site includes interactive features (such as reviews, testimonials, contact forms, or community message boards), any content you submit, post, or transmit (“User Content”) must comply with these Terms. You represent that you own or have all necessary rights to submit your User Content.

By submitting User Content, you grant United Legacy a non-exclusive, royalty-free, worldwide, perpetual license to use, reproduce, modify, publish, translate, and distribute such content in connection with our business operations and marketing activities, without further compensation to you.

User Content must not:

• Be false, misleading, defamatory, harassing, threatening, or harmful to any individual or group
• Infringe any third-party intellectual property, privacy, or publicity rights
• Contain personal information about others without their explicit consent
• Promote illegal activities or violate any applicable law or regulation
• Contain viruses, malware, or other harmful code

United Legacy reserves the right to remove any User Content at our sole discretion without notice or liability.

You agree not to use the Site to:

• Violate any applicable federal, state, or local law or regulation
• Transmit unsolicited communications, junk mail, or spam
• Impersonate any person or entity, or misrepresent your identity or affiliation
• Attempt to gain unauthorized access to any portion of the Site, its servers, or related systems
• Introduce or transmit viruses, malware, ransomware, or other malicious code
• Engage in any activity that interferes with, disrupts, or imposes an unreasonable burden on the Site or its infrastructure
• Harvest, scrape, or collect personal information about other users without their consent
• Use the Site for competitive intelligence, pricing analysis, or business intelligence gathering without our express written consent

Submitting an inquiry, tour request, or contact form through the Site does not constitute a reservation, residency contract, or guarantee of availability at any United Legacy community. Availability, pricing, care levels, and amenities are subject to change at any time without notice.

Information provided on the Site regarding pricing, amenities, care levels, and community features is provided for general informational purposes only and is not contractually binding. The specific terms of any residency are governed solely by a fully executed Residency Agreement between United Legacy and the resident or their authorized representative.

By submitting an inquiry form, you consent to being contacted by United Legacy by email, phone, and/or SMS in connection with your inquiry, as described in our Privacy Policy. We will make commercially reasonable efforts to respond promptly but do not guarantee response times.

Where the Site offers online payment functionality, payments are processed by a third-party payment processor. United Legacy does not store, transmit, or directly process full payment card data. All payment transactions are subject to the payment processor’s own terms and conditions and privacy policy, which will be presented to you before completing a transaction.

You agree to pay all charges associated with any transaction you initiate through the Site. United Legacy reserves the right to refuse or cancel any payment at its sole discretion.

Any deposit, application fee, or other payment made through the Site does not guarantee placement or reserve a specific apartment, suite, or unit unless this is expressly confirmed in a separate written agreement.

The Site may offer virtual tours, 360-degree room and community views, interactive floor plan tools, cost calculators, and care-level matching features. These digital tools are provided for informational and illustrative purposes only.

Representations in virtual tours or digital tools — including room dimensions, layouts, finishes, furniture arrangements, views, and amenities — are approximate and for illustrative purposes only. They may not reflect the exact condition, configuration, or availability of any specific unit at the time of inquiry or move-in.

United Legacy makes no warranty that digital tools will be error-free, continuously available, or that outputs (such as estimated costs or care-level recommendations) will be accurate for your specific situation. United Legacy is not liable for decisions made based on digital tool outputs. Always consult with a United Legacy team member to confirm specific details.

THE SITE AND ALL CONTENT, MATERIALS, INFORMATION, SERVICES, AND FEATURES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.

To the fullest extent permitted by applicable law, United Legacy disclaims all warranties, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. United Legacy does not warrant that:

• The Site will be continuously available, uninterrupted, or error-free
• Information on the Site is accurate, complete, reliable, current, or timely
• The Site or its servers are free from viruses or other harmful components
• Any particular result will be achieved through use of the Site

Some U.S. states do not permit the exclusion of implied warranties. To the extent such laws apply in your state of residence, some of the above exclusions may not apply to you.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, UNITED LEGACY RETIREMENT COMMUNITIES, LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND SUCCESSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES ARISING FROM YOUR USE OF OR INABILITY TO USE THE SITE, EVEN IF UNITED LEGACY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

In no event shall United Legacy’s total aggregate liability to you for all claims arising from or related to the Site exceed the greater of: (a) the total amount paid by you to United Legacy in connection with the Site in the twelve (12) months preceding the applicable claim, or (b) one hundred U.S. dollars (USD $100.00).

Because we operate in all 50 U.S. states, please note that some states do not permit the exclusion or limitation of certain damages. To the extent such laws apply in your state of residence, the above limitations may not apply to you.

You agree to indemnify, defend, and hold harmless United Legacy Retirement Communities, LLC, its subsidiaries, affiliates, officers, directors, employees, agents, attorneys, and shareholders from and against any and all claims, demands, actions, costs, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising out of or relating to:

• Any User Content you submit, post, or transmit through the Site
• Your use of or connection to the Site
• Your violation of these Terms or our Privacy Policy
• Your violation of any rights of a third party
• Your violation of any applicable federal, state, or local law or regulation

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.

Any dispute, claim, or controversy arising out of or relating to the Site, these Terms, or our Privacy Policy (collectively, “Disputes”) shall be resolved through binding individual arbitration, except as provided below.

Step 1 — Informal Resolution

Before initiating arbitration, you agree to first notify United Legacy of the Dispute by emailing legal@unitedlegacyrc.com with the subject line “Dispute Notice,” and to attempt to resolve the Dispute informally for a period of at least thirty (30) days from the date of notice. If the Dispute is not resolved within that period, either party may proceed to arbitration.

Step 2 — Binding Arbitration

If informal resolution fails, Disputes shall be resolved by binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, available at www.adr.org. The arbitration shall be conducted in Plano, Texas or, at your election, by telephone or video conference. The arbitrator’s award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction. The parties shall each bear their own costs unless the arbitrator determines that one party’s claims or defenses were frivolous.

Exceptions

Either party may bring qualifying claims in small claims court. Either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration, without waiving arbitration rights.

YOU AGREE THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, ANY AND ALL DISPUTES, CLAIMS, AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE SITE, THESE TERMS, OR OUR PRIVACY POLICY SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU HEREBY WAIVE YOUR RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY CLASS ACTION, COLLECTIVE ACTION, CONSOLIDATED PROCEEDING, OR REPRESENTATIVE ACTION OR PROCEEDING.

If a court of competent jurisdiction finds that the class action waiver in this section is unenforceable with respect to a particular claim or remedy, then that specific claim or remedy must be severed from arbitration and proceed in a court of competent jurisdiction. All other claims and remedies shall remain subject to binding arbitration as described in the Dispute Resolution section.

Because United Legacy Retirement Communities operates across all U.S. states, these Terms are governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict-of-law provisions. For any claims not subject to arbitration, you consent to the exclusive personal jurisdiction of the state and federal courts located in Collin County, Texas.

You acknowledge that the Site is operated from the United States and that your use is subject to applicable U.S. federal and state laws. If any provision of these Terms conflicts with the law of your state of residence, only the conflicting provision is affected — the rest of these Terms remain in full force.

United Legacy Retirement Communities is committed to making the Site accessible to all individuals, including those with disabilities, in accordance with the Web Content Accessibility Guidelines (WCAG) 2.1 Level AA and applicable provisions of the Americans with Disabilities Act (ADA). AI-generated content, responses, and recommendations are informational only and do not constitute medical, legal, financial, or professional care advice. You should consult a qualified professional and a United Legacy team member before making decisions about senior living placement or care.

United Legacy does not use fully automated systems to make legally significant or care-determinative decisions about individuals without human oversight. All AI-assisted outputs that could affect a prospective resident’s care pathway are reviewed by a qualified United Legacy team member. You may request human review of any automated process affecting you by contacting corporate@unitedlegacyrc.com.

The Site may contain links to third-party websites, services, social media platforms, or resources. These links are provided for convenience only and do not constitute an endorsement by United Legacy. We have no control over and accept no responsibility for the content, accuracy, privacy practices, or security of any third-party sites. You access third-party sites at your own risk and subject to their own terms and conditions.

United Legacy reserves the right to modify, suspend, or discontinue the Site or any of its features at any time, with or without notice, and without liability to you. We may update these Terms at any time; updates take effect upon posting to the Site, with the “Effective Date” updated accordingly.

For material changes — including changes to arbitration provisions, liability limitations, or data handling — we will provide notice via a prominent banner on the Site or by email to users who have provided their email address. Your continued use of the Site after such notice constitutes acceptance of the revised Terms.

United Legacy reserves the right to terminate or restrict your access to the Site at any time, without notice or liability, for any reason, including your actual or suspected violation of these Terms. Upon termination, the licence granted to you under the Intellectual Property section will immediately cease. The Intellectual Property, User-Generated Content, Disclaimers, Limitation of Liability, Indemnification, Dispute Resolution, Class Action Waiver, Governing Law, and Entire Agreement sections shall survive any termination of your access to the Site.

These Terms, together with the Privacy Policy and any other policies or notices incorporated herein by reference, constitute the entire agreement between you and United Legacy with respect to the Site. They supersede all prior agreements, understandings, representations, and negotiations between you and United Legacy regarding the Site.

If any provision of these Terms is found by a court of competent jurisdiction to be invalid, void, or unenforceable for any reason, that provision shall be deemed severed from these Terms and the remaining provisions shall remain in full force and effect. Any failure by United Legacy to enforce a provision of these Terms shall not be deemed a waiver of that or any other provision.
